Terms of Service

These Terms of Service ("Terms") govern your access to and use of Distribify, a platform for managing distribution businesses, including our mobile applications and website (collectively, the "Service"), operated by Distribify ("we," "us," or "our").

By creating an account or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

1. Accounts and Roles

The Service supports two account types:

• Owner accounts — businesses that subscribe to Distribify to manage their own products, clients, orders, and deliveries within an isolated workspace.
• Client accounts — invited by an Owner to place orders and view invoices within that Owner's workspace.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized use of your account.

2. Subscriptions and Billing

Owner accounts are billed on a subscription basis. Current pricing is displayed in the app and on our website at the time of signup. By subscribing, you authorize us (through our payment processor, Stripe, Inc.) to charge your payment method on a recurring basis until you cancel.

• Free trial. New Owner accounts may begin with a trial period, currently 14 days, during which no payment is required. At the end of the trial, you must subscribe to retain access to Owner features.
• Cancellation. You may cancel your subscription at any time from within the app or through the Stripe billing portal. Cancellation takes effect at the end of your current billing period — you retain access until then, with no partial refund for the remaining period.
• Price changes. We may change subscription pricing with at least 30 days' notice. Continued use after a price change takes effect constitutes acceptance of the new price.
• Failed payments. If a payment fails, we may suspend Owner account access until payment is resolved, subject to standard retry attempts by our payment processor.

Client accounts are free to use and do not require a subscription.

3. Your Responsibilities

You agree to:

• Provide accurate information when creating your account and inviting Clients.
• Use the Service only for lawful business purposes related to the distribution, sale, and delivery of goods.
• Not use the Service to harass, defraud, or harm any other user.
• Not attempt to access another workspace's data, reverse-engineer the Service, or circumvent any security measures.
• Comply with all applicable laws, including those related to sales tax, consumer protection, and data privacy, in your use of the Service.

As an Owner, you are solely responsible for the accuracy of your product catalog, pricing, invoices, and any representations you make to your Clients through the Service. Distribify is not a party to the underlying commercial relationship between you and your Clients.

4. Data Ownership

You retain ownership of the business data you input into the Service — including your product catalog, client list, orders, and invoices. We do not claim ownership of your data. You grant us a limited license to host, store, and process this data solely to provide the Service to you.

5. Acceptable Use

You may not use the Service to:

• Distribute illegal goods, controlled substances, or counterfeit products.
• Transmit malware, spam, or unauthorized advertising.
• Impersonate any person or entity, or misrepresent your affiliation with one.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to the Service, other accounts, or related systems.

We reserve the right to suspend or terminate accounts that violate this section, with or without notice.

6. Service Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to factors outside our control. We are not liable for any loss resulting from downtime.

7. Third-Party Services

The Service relies on third-party providers, including Google Firebase (authentication, data storage, notifications) and Stripe, Inc. (payment processing). Your use of the Service is also subject to the applicable terms of these providers. We are not responsible for the acts or omissions of third-party providers.

8. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or for any other reason with reasonable notice, except where immediate termination is necessary to protect the Service or other users.

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days following cancellation, after which it may be deleted, consistent with our Privacy Policy.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free or uninterrupted.

10. Limitation of Liability

To the fullest extent permitted by law, Distribify and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.

11. Indemnification

You agree to indemnify and hold Distribify harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party, including your Clients.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice through the app or by email before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict of laws principles. Any disputes arising from these Terms or the Service will be resolved in the state or federal courts located in Travis County, Texas.
